General Counsel

Central Bank, a $20 billion multistate regional banking organization headquartered in Jefferson City, seeks a highly talented, experienced general counsel to navigate the increasingly complex banking legal and regulatory landscape while also supporting the bank’s strategic growth agenda. The general counsel reports to the bank president and collaborates with other senior leaders.

  • Responsibilities
    • serve as a trusted advisor to the CEO, board of directors and executive committee, as well as senior business executives
    • stay abreast of changes in laws and regulations affecting the businesses and communicate to appropriate parties
    • provide counsel on both the business and legal ramifications of significant company strategic imperatives, including acquisitions and other possible investments
    • help maintain close relationships with all relevant regulators and help provide strong oversight of all regulatory and legal matters
    • monitor and manage exposure to litigation (and potential litigation), including settlement where appropriate to reduce overall cost to the organization
    • ensure optimal use of in-house and external legal resources to appropriately minimize both legal expenditures and legal exposure
    • manage the corporate secretary function
  • Requirements
    The following background is strongly preferred for this position.
    • minimum of 15 years of relevant legal experience, ideally gained at a well-regarded law firm or other senior in-house experience within a banking organization of commensurate size, complexity and scope to Central Bank
    • breadth of experience to advise on the full range of legal and commercial issues likely to affect Central Bank’s retail, commercial and wealth management businesses
    • experience working closely with a CEO and board of directors
    • track record of advising on bank regulatory risks and working knowledge of applicable banking laws
    • experience managing legal issues requiring a high degree of cross-functional cooperation and the consideration of various laws and regulations
    • experience and knowledge regarding bank and bank holding company transactional, corporate governance and securities matters, particularly with regard to state-chartered, multistate banking organizations
    • JD from accredited law school; licensed to practice law in the U.S.
